1. About us and these terms

Retempla is operated by [COMPANY NAME], a company registered in England and Wales with company number [COMPANY NUMBER], whose registered office is at [REGISTERED ADDRESS] ("we", "us"). These terms govern your use of the Retempla service (the "Service"). The Service is offered to businesses and business users only; by creating an account you confirm you are acting in the course of a business.

"Customer Content" means the documents and templates you upload and the converted documents, reports and workbooks the Service produces from them.

2. The Service

The Service converts Microsoft Word (.docx) documents into a template you provide. Conversion changes formatting, styling, numbering, table structure, image handling and template labels only; the body text of your documents is not altered, and every conversion is automatically checked word-for-word against the original. A conversion that would alter your text is rejected rather than delivered.

Each converted document is given a confidence score, and documents that need human attention are flagged for review. You are responsible for reviewing flagged documents before relying on them. The Service is an assistive tool; it does not replace your document-control or quality-assurance process.

3. Accounts

Sign-in is passwordless: we email a single-use sign-in link to your address. You are responsible for controlling access to that email mailbox and for all activity on your account. You must provide a valid business email address and keep it current.

4. Acceptable use

You agree not to:

  • upload content that is unlawful, or that you do not have the right to process;
  • attempt to access another customer's data or to probe, scan or breach the Service's security or isolation measures;
  • resell the Service or make it available to third parties except as agreed with us in writing;
  • use the Service in a way that imposes unreasonable load, or attempt to circumvent usage limits.

5. Customer Content and ownership

You retain all rights in your Customer Content. You grant us a limited licence to store and process it solely to provide the Service to you. We do not use your Customer Content to train AI models, and we do not use it for any purpose other than performing the conversions you request and operating the Service.

6. Data protection

For the content of your documents we act as a processor on your behalf; for your account and usage data we act as a controller. Our Privacy Policy describes what we process, our subprocessors, and your rights. Uploaded and converted files are retained for a maximum of 30 days and then deleted automatically; deleting your account removes your data immediately.

7. AI features

Optional AI features assist with metadata extraction and formatting polish. They are restricted to a pre-approved list of formatting actions, and every output — AI-assisted or not — is re-validated against the word-for-word text-preservation check described in section 2. The Service functions fully with AI features disabled.

8. Fees

New accounts include free conversion credits. Paid plans are currently invoiced manually on terms agreed with you; when self-serve billing launches it will be operated by a payment provider acting as merchant of record (expected to be Paddle), and we will give you notice before any change affects you. Prices may change with reasonable notice; changes never apply retroactively.

9. Availability and support

We provide the Service with reasonable skill and care and aim for high availability, but we do not offer a guaranteed service level. We may suspend the Service for maintenance or security reasons. Support is provided by email at [CONTACT EMAIL] during UK business hours.

10. Warranties and disclaimers

Except for the express commitment in section 2 (text preservation), the Service is provided "as is" and we disclaim all other warranties to the fullest extent permitted by law, including fitness for a particular purpose. Converted formatting may require adjustment, and flagged documents require your review before use.

11. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to that, neither party is liable for loss of profits, revenue, goodwill or data, or for any indirect or consequential loss; and our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the fees you paid us in that period (or £100 if you have paid no fees).

12. Termination

You may stop using the Service and delete your account at any time from your account page; deletion removes your stored files and data immediately. We may suspend or terminate your account for material breach of these terms, giving notice where reasonable. Sections that by their nature should survive termination (including 5, 10 and 11) survive it.

13. Changes to these terms

We may update these terms from time to time. If a change is material we will notify you by email at least 14 days before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance.

14. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them or the Service.
